Dear Mz, Steward:
It is my pleasure to inform you that Blectric Boat Corporation (the “Grantor”) has approved contingent upon
return of this fetter agreement (the “Agreement”) a grant award ta the Town of Waterford (the “Grantes”) in
the amount of eighty thousand dollars ($80,000) (the “Grant Amount”) to be used during the period of April
1, 2019 through September 30, 2020 (the “Grant Period”) solely for the purposes outlined in Section 1 below.
In consideration for receipt of this grant, Grantee agrees to the following terms and conditions and makes the
following representations to Grantor;

The Grant Amount shall be used by the Grantee solely to remove derelict dock structures that
cover approximately four and a quarter (4.25 ) acres (184,545 square feel) in the Thames River
located at 74 Scotch Cap Road, Waterford, Connecticut (Assessor ID’ # 152-0682600) (the
“Grant Purpose”). Grantee may not re-grant any fimds to another organization. It is Grantor’s
understanding that the removal of the dock structures will be beneficial to the winter flounder
species in the river. The Grant Amount is fully expendable on a current basis; no funds are
required to be hefd as an endowment.
‘The Grantee is a political subdivision of the State of Connecticut described in Section 170(c)(1)
of the Internal Revenue Code of 1986, as amended {the “CodeTM) and this grant is made
exclusively for public purposes,
The Grant Amount must be maintained in a separate find dedicated to the restricted charitable
purposes described in this Agreement, Such separate find may be either (i) a physically separate
bank account restricted to the described charitable purposes, or (ii) a sepatate hookkeeping
account (limited to the described charitable purposes) maintained as part of Grantee's financial
records, -
‘The Grantee shall maintain financial records pertaining to the grant in accordance with generally
accepted accounting principles, retain records of receipts and expenditures and other
documentation in connection with the grant for at least four (4) years following the year the grant
funds are fully expended or repaid, and make its books and records (with regard to the grant)
available to the Grantor at reasonable times,
Within three (3) months following the end of the Grant Period, a written report signed by an
appropriate Grantee official must be furnished to the Grantor, The report should provide a
financial statement reporting all expenditures of grant funds (including, as necessary, salaries,
travel and supplies) as well as any Income camed on the grant funds, ,

6. Unless otherwise agreed to in writing by the Grantor, any grant funds, including any income
eamed on those funds, that are not spent or committed for the Grant Purpose before the end of
the Grant Period or spent or committed for purposes other than the Grant Purpose must be
retumed to the Grantor within fifteen (15) days of the earlier of (i) the end of the Grant Period or
(ii) the date in which the funds were spent or committed for purposes other than the Grant
Purpose,
7. The Grantee may not publicly announce receipt of the grant, or otherwisa use the Grantor’s
name, without the written consent of Grantor,
This Agreement sets forth the entire Agreement and understanding between the parties relating in any way to
the subject matter contained herein and merges all prior discussions between them. This Agreement may not
be modified, amended, extended, or superseded in any way except by writing signed by both parties. This
Agreement may be executed in two or more-counterparts, each of which taken together shall constitute one
and the same instrument. In signing this letter, such official of Grantes represents to the Grantor that s/he has
the authority to sign this letter on the Grantee's behalf, Payment of any grant funds will commence following.
receipt by the Grantor of a signed copy of this Agreement. This Agreement shall be govemed by and
construed in accordance with the laws of the State of Connecticut without giving effect to the conflict of laws
principles thereof

TITLE: Recommendation for Bid Award for the Thames River Dock Removal Project
Lenard Engineering, the consulting firm assisting the Town with the Thames River Dock Removal Project,
as well as this office, have reviewed the bid from Mohawk Northeast, Inc. Mohawk appears to be the
lowest qualified bidder for this project. { recommend that Mohawk be awarded the project and that
both the base bid and the alternate be accepted, for a total award of $233,710.
Funding for this project has been appropriated and funds will be reimbursed to the Town through grants
already received from DECD and the Electric Boat Company. Next steps will involve submittal of required
documents to DECD and entering into a formal contract for the work. Review of contract documents
will be done in consultation with the Town Attorney. The representative for the contractor has Indicated
that if awarded the project, Mohawk would begin work as soon as possible.

The contract to be awarded is subject to contract compliance requirements mandated by Sections 4a-60 and 4a-
60a. of the Connecticut General Statutes; and, whon the awarding agency is the State, Sections. 46a-71(d) and

Education and I, it is reconunend that Millard Enterprises, the sole bidder, be awarded the
