TITLE: Review of Modified Eversource Gas Service Agreements
On February 28, 2022, proposed contracts to extend natural gas service to the Police Station and Public
Safety Complex failed to gain approval at the Special Meeting of the Representative Town Meeting. RTM
members raised multiple concerns, including the duration and terms of the contract, facilities
management and tank removal, and consideration of alternative and sustainable heating options. When
the February 28" RTM meeting was scheduled, Eversource indicated that it required a decision fram the
Town regarding the contracts before March in order to include the project in this year’s construction
schedule.
Since that meeting, Town Staff and the Town Attorney have had multiple discussions with the Senior
Account Executive at Eversource, who is responsible for negotiating municipal gas contracts, Those
meetings led to changes in the contract and the provision of additional information from Eversource
that staff believe the RTM should have the opportunity to consider:
1. 
Contract Term: The contract terms for both buildings have been reduced from 25 years to 15
years. At the Town’s request, Eversource re-evaluated their cost of construction for the overall
project associated with Waterford’s buildings. Under the 25-year contract, Eversource was
including construction costs for a future extension of gas services ta the Waterford Library in
their calculations. By removing that portion of the project, construction costs were reduced and
the contract term was lowered to 15 years. The result of this change is that ifthe Town were to
request gas service at the Library in the future, there would likely be a cast associated with the
gas main extension.
2. 
Maximum Demands: The contract for each building specifies maximum daily and hourly
demands. These numbers are based on the capacity and output of the existing heating systems
at each building. Eversource confirmed that there is no penalty for using less than the
_anticipated daily demand, provided that gas is the only heating source for the buildings during
“the 15-year term of the contract. Any usage over the anticipated daily demand would be billed
il

to the Town per the established rates. There is no minimum daily demand. Therefore, the Town
can (and is encouraged to) install more efficient equipment, manage control systems, etc.
without penalty, The only thing the Town cannot do during the 15-year period is use any other
source of energy for the heating system.
3. 
Portfolio Installation: The text box on the first page of each contract indicates whether: 
or not
the projects are part of a portfolio installation. The language in this box is set by the Public
Utilities Regulatory Authority (PURA). The “yes” box is checked on each contract because the
work to extend gas to Town buildings has been consolidated with other work in the area. The
consolidation enables Eversource to extend gas to the Town buildings with a $0 contribution.
Although PURA requirements dictate that the “yes” box has to be checked because this is a
portfolio installation, Eversource stated that the other work in this portfolio is already
underway, therefore there is no 180-day period associated with this project.
4. Tariff: tem 7 on page 2 of the contracts addresses the terms of the tariff associated with this
project. The Tariff designation is noted at the top of page 1 of each contract (Rate 20-SE}. The
Tariff is charged on the distribution portion of future bills during the first 10 years of the
contract. This is a standard rate set by PURA.
5. 
Future Gas Prices: As with the Town’s electrical contracts, charges for gas are separated as
commodity or distribution fees, Distribution fees are set by PURA. Commodity prices fluctuate,
and the Town can, through its purchasing agent, solicit bids to abtain the best possible rates for
gas In the future. This allows the Town to negotiate and minimize the impact of any future
increase in gas prices during the next 15 years.
6. 
Removal of Underground Tanks: {t has been the Town of Waterford’s policy to remove, rather
than fill and abandon, buried oil tanks. Tanks associated with the Police Department and Public
Safety Building are due to be removed.
7. 
Alternative Energy Sources: Four energy sources were considered during the initial analysis of
this project: heating oil (current source), natural gas (proposed), geothermal, and solar.
a. 
Heating Oil: Like natural gas, heating oil prices fluctuate. New tanks will be required to
accommodate future use of heating oil, which will be required to be above ground.
There are both cost and aesthetic impacts associated with above-ground tanks.
b. 
Natural Gas: The extension of gas services under an Eversource portfolio project
eliminates the need to purchase above-ground heating oil tanks, and does not require
capital investment to install.
c. 
Geothermal: Geothermal can serve to reduce the overall cost of heating, however it
comes with additional cost and site disruptions, Since the buildings and uses on these
properties are already established, it was determined that geothermal could be
considered in a longer-term sustainability plan, however the near-term need to upgrade
heating systems at both buildings makes it impractical at this time.
d. 
Solar: Both buildings are in operation 24/7. Therefore, energy storage would be
necessary to rely on solar for heat. A better alternative would be to analyze whether
solar is a viable option to reduce electricity costs and incorporate more sustainable
energy sourcing.
The Public Works Director, in overseeing the facilities program for the Town, has indicated that there is
an immediate need to remove heating oil tanks and address deficiencies in the heating systems for the
Police Department and Public Safety Complex. Switching to natural gas can save the Town up to
$166,206 in initial capital outlay, and save an estimated $1,778 in annual operating cost savings over the
15-year term of the contracts. To reduce overall project costs associated with necessary facility

upgrades, it is recommended that the RTM reconsider moving from heating oil to natural gas at these
buildings.

EVERSSURCE
1. 
The Service Lines installed by us are our property, and
we will retain ownership of them even after service or this
Agreement has ended. All pipe and equipment beyond our meter
will be furnished, installed (including pressure testing and
approval by local authorities), owned, repaired and maintained by
you. We will leave our installation area level with its surroundings
and clean from any debris we created. You are responsible for
restoring the installation area. If we disturb your paved area or
sidewalk, we will patch/repair only the affected area.
2. 
Ifa Contribution Amount is required (as indicated on the
first page of this Agreement), then that payment is due and owing
to us upon your execution of this Agreement, and this Agreement
cannot’ become effective until you have 
fully paid 
the
Contribution Amount.
3. 
In our cost estimating, we have used reasonable efforts
to determine the conditions under which the Service Lines will be
installed. However, you agree that, in the event certain
circumstances happen or are encountered including, without
limitation: (a) presence of ledge or rock requiring excavation; (b)
presence of retaining walls or extensive landscaping; (c) a
requirement for new or expanded access rights; (d) steel pipe
installations; (e) location on a state highway; (f) requirement to
cross a culvert, stream or other obstacle; (g) location on a newly
paved or concrete road; (h) the requirement of frost excavation;
(i) the requirement of environmental remediation or any other
* governmental requirement; (j) the presence of underground
facilities of other utilities (including your own facilities that you
have installed on your property like irrigation systems, interior
piping, and electric systems); or (k) any other condition not
included within the calculation of our project cost estimate and
which results in additional costs to us, then we reserve the right to
require that you pay an increase in the Contribution Amount ora
first-time Contribution Amount (if we did not require a
Contribution Amount upfront). You also will pay the costs of any
construction delays attributable to you. You will pay those
amounts within 30 days after receiving our invoice.

Before we install the Service Lines, you will locate and
mark out all private underground facilities (including installations
described in Section 3(j) above) located on your property. We will
not be responsible for damage to any underground facility that
have not been properly marked or that has resulted from your
negligence.
5. 
You will 
provide 
us, 
in 
accordance 
with 
our
specifications and at no cost to us, with (a) traffic barriers in all
locations where the Service Lines are subject to vehicular traffic;
and (b) all necessary property easements in accordance with our
standard easement acquisition policy prior to the installation of
the Service Lines. You also must properly mark the fuel line
manifold with a metal tag or other permanentidentification.

We are not liable for delays in installing, beginning

maintaining service not within our reasonable control, such as

weather, adverse field conditions, work stoppage, acts of God or
other similar event or occurrence. You must take service under
this Agreement within 60 days after the date we have installed the
Service Lines. If you do not take service within that period, then
we have the right to terminate this Agreement, and you will have
to pay us for the costs we paid or incurred to have installed the
Service Lines, plus the costs we will have to pay to carry and retire
them, and all related costs.

This Agreement will remain in effect for the Term
indicated on the first page of this Agreement, unless sooner
terminated by us as allowed under the Tariff, the Rules, this
Agreement and/or the Jaw, and wil] automatically remain in effect
thereafter unless so terminated. You acknowledge your service
will remain under the Tariff rate indicated on the first page of this
Agreement for 10 years after the start of gasservice.
8. 
Gas service will be billed under the Tariff. All bills for
any charges under the Tariff and this Agreement will be paid by
you within 28 days of the invoice statement date (or 60 days for
State or municipal service). Any bill not paid on time may result
in the termination of your service per the Tariff and related
statutes and regulations and will be subject to a late payment
charge calculated in accordance with the Tariff and Rules. You
will reimburse us for all costs of providing service to you and all
sums expended in connection with any action or suit to remedy a
default or collect payment, including reasonable attorney's fees
and court costs.
9. 
TO THE EXTENT ALLOWED BY LAW, UNDER NO
CIRCUMSTANCE WILL EITHER PARTY BE LIABLE TO
THE OTHER FOR ANY INCIDENTAL, SPECIAL, PUNITIVE
OR CONSEQUENTIAL DAMAGES, EVEN IF THE OTHER
HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE
DAMAGES, IT BEING OUR INTENTION TO LIMIT OUR

The Service Lines installed by us are our property, and
we will retain ownership of them even after service or this
Agreement has ended. All pipe and equipment beyond our meter
will be furnished, installed (including pressure testing and
approval by local authorities), owned, repaired and maintained by
you. We will leave our installation area level with its surroundings
and clean from any debris we created. You are responsible for
restoring the installation area. If we disturb your paved area or
sidewalk, we will patch/repair only the affected area.
2. 
Ifa Contribution Amount is required (as indicated on the
first page of this Agreement), then that payment is due and owing
to us upon your execution of this Agreement, and this Agreement
cannot 
become effective 
until you have 
fully paid 
the
Contribution Amount.
3. 
Tn our cost estimating, we have used reasonable efforts
to determine the conditions under which the Service Lines will be
installed. However, you agree that, in the event certain
circumstances happen or are encountered including, without
limitation: (a) presence of ledge or rock requiring excavation; (b)
presence of retaining walls or extensive landscaping; {c) a
requirement for new or expanded access rights; (d) steel pipe
installations; (e) location on a state highway; (f) requirement to
cross a culvert, stream or other obstacle; (g) location on a newly
paved or concrete road; (h) the requirement of frost excavation;
(i) the requirement of environmental remediation or any other
governmental requirement; (j) the presence of underground
facilities of other utilities (including your own facilities that you
have installed on your property like irrigation systems, interior
piping, and electric systems); or (k) any other condition not
included within the calculation of our project cost estimate and
which results in additional costs to us, then we reserve the right to-
require that you pay an increase in the Contribution Amount ora
first-time Contribution Amount (Gf we did not require a
Contribution Amount upfront). You also will pay the costs of any
construction delays attributable to you. You will pay those
amounts within 30 days after receiving our invoice.
4, 
Before we install the Service Lines, you will locate and
mark out all private underground facilities (including installations
described in Section 3(j) above) located on your property. We will
not be responsible for damage to any underground facility that
have not been properly marked or that has resulted from your
negligence.
5. 
You will provide 
us, 
in 
accordance 
with 
our
specifications and at no cost to us, with (a) traffic barriers in all
locations where the Service Lines are subject to vehicular traffic;
and (b) all necessary property easements in accordance with our
standard easement acquisition policy prior to the installation of
the Service Lines. You also must properly mark the fuel line
manifold with a metal tag or other permanentidentification.

We are not liable for delays in installing, beginning

maintaining service not within our reasonable control, such as
weather, adverse field conditions, work stoppage, acts of God or
other similar event or occurrence. You must take service under
this Agreement within 60 days after the date we have installed the
Service Lines. If you do not take service within that period, then
we have the right to terminate this Agreement, and you will have
to pay us for the costs we paid or incurred to have installed the
Service Lines, plus the costs we will have to pay to carry and retire
them, and all related costs.
7. 
This Agreement will remain in effect for the Term
indicated on the first page of this Agreement, unless Sooner
terminated by us as allowed under the Tariff, the Rules, this
Agreement and/or the law, and will automatically remain in effect
thereafter unless so terminated. You acknowledge your service
will remain under the Tariff rate indicated on the first page of this
Agreement for 10 years after the start of gasservice.
8. 
Gas service will be billed under the Tariff. All bills for
any charges under the Tariff and this Agreement will be paid by
you within 28 days of the invoice statement date (or 60 days for
State or municipal service). Any bill not paid on time may result
in the termination of your service per the Tariff and related
statutes and regulations and will be subject to a late payment
charge calculated in accordance with the Tariff and Rules. You
will reimburse us for all costs of providing service to you and all
sums expended in connection with any action or suit to remedy a
default or collect payment, including reasonable attorney's fees
and court costs.
9. 
TO THE EXTENT ALLOWED BY LAW, UNDER NO
CIRCUMSTANCE WILL EITHER PARTY BE LIABLE TO"
THE OTHER FOR ANY INCIDENTAL, SPECIAL, PUNITIVE
OR CONSEQUENTIAL DAMAGES, EVEN IF THE OTHER
HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE

Dear Mr. Brule:
I have an abiding interest in conservation of natural resources and municipal agency/authority dedicated to that
purpose. It came to my attention last summer that Waterford’s conservation commission had some vacancies
and I'm wondering whether those vacancies might still be pending action.
A resident of our region since 1968, I was a local news reporter when Waterford's conservation commission
took on the task of the brand-new wetlands regulations brought to bear by statutory underpinnings for the then
also brand-new Connecticut Department of Environmental Protection (DEP). I reported on the Connecticut
College professors Richard Goodwin and Robert Niering, who significantly assisted in drafting those
regulations, Since then, my interest in conservation and wetlands has increased, as has my interest in becoming
a member of Waterford's conservation commission.
Fully retired since September, 2014, I have been a resident of Waterford since then by virtue and grace of the
excellent seniors housing provided by the philanthropic AHEPA organization on Clark Lane. I have come to
admire and appreciate Waterford's evident and obvious success with conservation authority exercised in
responsible, deliberative and judicious ways. A longtime hiker and amateur naturalist, I am fairly familiar with
Waterford's various drainage basins, open spaces, preserves, parks, natural areas and overall topography for the
most part. I can confidently and humbly present myself as a positive for conservation interests in general,
Waterford's in particular.
It would be my pleasure to meet with you at your earliest convenience to further explore with you my interest in
and understanding of Waterford's conservation authority and its formal plan of conservation and development.

It was nice to speak to you this morning. Attached is the letter I sent to Rob Brule. I didn't realize that it is now
nearly a year old.
I would be happy to meet with Mr Brule if this is desired. By way of introduction, along with my wife Lois,
we've been residents of Waterford for more than 35 years and raised our family here. My background is in
Chemistry, having earned a PhD from Ohio State University. I have worked at DuPont and Pfizer (more than
15 years) among other research organizations. I have volunteered my time in Waterford over the years (Goshen
Fire Department-fire fighter level II, T-ball, little league, Waterford Lions, Flood and Erosion Commission,
P&Z Commission (appointed by Dan Steward). I am now retired and volunteering at the Restore and with the
Waterford Youth Services food pantry, sorting food donations. We also deliver food to seniors and others in
need in town again helping the Youth Services.
I remain interested in rejoining the P&Z Commission and have been encouraged by both Abby and Mark to
